Sacked as a Director of a Charity

I have a friend who is a Director (Member) of a local charity group.

They have just been informed that they have had their directorship terminated due to the fact that the Charity is only allowed a set number of directors at any one time - something to do with Charity rules.

There was no meeting called and they were informed by text. What I wanted to know is was this legal or do the rules change if it's for a charity.

Any information would be great, this is not a work question - but as normal as I understand a little about Ltd Companies i've been collared.

No, it was a voluntry post - but they did lend the charity some money this year and are yet to receive this back.

Hi Ben,

for a contract to exist there must be :

- An enforcable duty of care

- That duty must have been breached

- Loss must have resulted.

Without payment there is no contract so I don't believe that your freind has much of a case but it could still be worth popping along to citizens advice for some proper legal advice. (This is usually used the other way around for people to walk away).

Has your freind got the loan in writing? Would hate for the charity to claim it was a donation!

Could that be the real reson that they gave him the push in order to steal the loan? probably not but just throwing it into the mix for consideration.
