alphabet shares

Hi There

Just wondering if anyone knows the procedure to issue alphabet shares?

I currently own a limited company with my mum and we each own 1 ordinary share.

What i want to do is issue 1 A ordinary share to me, 1 B ordinary share to my mum and 1 C ordindary share to my wife.  So we can declare different levels of dividends without having to have sufficient reserves to cover any waivers.

I think i just need to do a special resolution to the articles and memorandum of association to authorise say 100 B shares and 100 C shares and say that the B and C shares dont have any voting rights just rights to dividends.  Then have the company repurchase my mums one share and issue 1 B share to my mum and 1 C share to my wife doing the relevant issuing of shares form to companies house.

Can anyone advise or give a template of what i want to do?

Dont want to pay a solicitor £200-£300 for something that is a 10 minute job.

Thanks

MarkS
