No Authorised share capital on the M&As?
Permalink Closed

Helloooo

I was looking for the authorised share capital in a company's M&As, and I don't see it?  The company was formed in Jan12.  I know there is no longer a requirement to disclose it in the notes to the accounts, but does that mean they no longer need to put it in the M&As?

The Companies Act 2006 abolished the requirement for companies to have an authorised share capital. Companies registered after 30/9/09 do not have any limit on the number of shares they can issue unless they impose one on themselves (in their Articles).

Thanks Ian. My software still requires that I put an amount in the database so I have entered the value to match the issued shares.

Sounds like a solution. You can tell computers anything, huh?

Perhaps an email to your software providers, however?

I'm intrigued to wonder whether your software would accept nil authorised capital, and if it does, will it allow a positive figure for issued share capital? Just wondering ... don't waste any effort over it.
